Investment Structure

eMotion EV Infrastructure Fund I is structured as a Delaware limited partnership designed to provide investors with direct economic exposure to EV charging infrastructure assets.

Limited Partners collectively own the underlying charging equipment and related site agreements, which are secured through long-term commercial leases, typically with initial terms of ten years or more.

The Fund follows a closed-end structure with a defined investment period and term, aligning capital deployment, asset operations, and long-term value realization within a single, disciplined framework.

The Fund is managed by eMotion GP, LLC, a Delaware limited liability company owned by CityVitae. The Fund’s governance framework includes customary disclosure and oversight provisions designed to ensure appropriate alignment between the General Partner and investors, as set forth in the Fund’s governing documents.

 

Operating platform

The Fund is supported by CityVitae, an EV infrastructure company providing the operating and technology platform for asset deployment and ongoing operations.

CityVitae delivers end-to-end operational capabilities, including site selection, engineering and installation, proprietary OCPP-compliant software, real-time monitoring, pricing optimization, and field maintenance.

By retaining direct control over day-to-day operations, the platform is able to maximize charger uptime, optimize utilization, and manage operating costs throughout the asset lifecycle.

This operator-led model reduces execution risk and enables the Fund to capture long-term value through active operational management, rather than relying solely on passive asset ownership.

Economics Lifecycle:

eMotion EV Infrastructure Fund I targets a total fund size of $5.0 million and is structured with a 10–12 year fund life, reflecting the long-term nature of EV charging infrastructure assets.

The Fund seeks to achieve a target net internal rate of return of approximately 17.5%, driven by disciplined capital deployment, utilization growth at well-located sites, and active operational management over the life of the assets.

Capital is deployed during an initial investment period focused on the acquisition and installation of charging infrastructure at commercial locations. As EV adoption increases, assets transition into a long-term operating phase characterized by rising utilization and recurring revenue.

Over time, value creation is supported by stable operating costs, asset longevity, and increasing demand, resulting in a return profile consistent with infrastructure-style investments.
